LETTER TO THE SHAREHOLDERS

Dear Shareholders, 

The board of directors of the SICAV hereby informs the Shareholders of the SICAV that IVESAM NV, the management company of the SICAV, will merge into KBC Asset Management NV, a management company authorised in Belgium and supervised by the Belgian Financial Services and Markets Authority (FSMA), as of 1 October 2023 (the “Effective Date”). As from the Effective Date, KBC Asset Management NV will be the management company of the SICAV.

The merger of IVESAM NV into KBC Asset Management NV is part of an international optimization to leverage the scale of KBC Asset Management as a group to remain the reference in terms of quality and efficiency for future sustainability, in the best interest of investors.

This change will not have any impact on the management activities performed by the management company for the SICAV nor on the delegation of its functions. In particular:

• Portfolio management: As from the Effective Date, all sub-funds whose investment portfolio has been managed by IVESAM NV will be managed by its legal successor, KBC Asset Management NV. Portfolio management will be continued by the same natural persons in charge and there will be no change to the way the sub-funds are currently being managed.
• Fund administration: The management company will continue to delegate fund administration to Brown Brothers Harriman (Luxembourg) S.C.A.

The above-mentioned merger will not cause any additional costs to the Shareholders.

The prospectus and the key information documents (KIDs) will be updated on or around the Effective Date and will be available on www.kbc.be/investment-legal-documents. In Austria, these documents will be available free of charge from Erste Bank der oesterreichischen Sparkassen AG, Am Belvedere 1, A-1100 Vienna.
